1. Changes to These Terms

PiyushTech Enterprises reserves the right to add to, change, modify, suspend, cancel or discontinue any or all Services, and to modify or alter content, products or services available on the website, at any time and without prior notice, subject to applicable law.

Any revised Terms will be posted on https://piyushtech.com for your convenience. You are responsible for reviewing these Terms periodically so that you remain informed of any changes. Your continued access to or use of the website or Services after revised Terms are posted will constitute your acceptance of those changes.

PiyushTech Enterprises does not undertake to update the website or Services immediately in every instance. There may be circumstances in which updates are delayed or are not made for operational or other reasons. The determination of PiyushTech Enterprises in this regard shall be final, subject to applicable law.

2. License and Permitted Use

Upon your acceptance of these Terms, PiyushTech Enterprises grants you a limited, non-exclusive and non-transferable right to access and use the Services solely for your internal business purposes, subject to these Terms and any applicable subscription or service agreement.

You agree to use the Platform and Services only for lawful purposes. You are responsible and accountable for all activities carried out through your use of the Platform or Services and for ensuring that your authorized users comply with these Terms.

To the extent permitted by applicable law, PiyushTech Enterprises excludes liability arising from unauthorized, unlawful or improper use of the Platform or Services.

3. Intellectual Property

Unless otherwise stated, all copyrights, intellectual property rights, materials, content, registered trademarks, service marks and logos displayed on or made available through the website or Services are the property of PiyushTech Enterprises or its applicable licensors and are protected by applicable laws.

No right, title or interest in any intellectual property is transferred to you except for the limited right to use the Services expressly granted under these Terms. Any infringement or unauthorized use may be defended and pursued to the fullest extent permitted by law.

4. Personal Information and Data

By submitting personal information, data or other details through the PiyushTech Enterprises website or Services, you grant PiyushTech Enterprises permission, to the extent necessary to provide the Services, to hold, process and store such information and related data.

PiyushTech Enterprises’ handling of personal information is governed by its applicable Privacy Policy. PiyushTech Enterprises will not rent, sell or share your personal information with third parties for marketing purposes without your express permission, except where disclosure is required or permitted by applicable law or is necessary to provide the Services.

5. Use by Authorized Persons

The Services offered by PiyushTech Enterprises are subject to these Terms, the applicable Privacy Policy and any additional terms communicated by PiyushTech Enterprises from time to time.

You shall ensure that the products and Services are accessed and used only by you or your duly authorized persons. Access or use by any unauthorized person shall constitute a breach of these Terms.

6. Subscription, Fees and Payment

You will be billed according to the pricing plan selected by you on https://piyushtech.com or as otherwise expressly agreed with PiyushTech Enterprises.

You agree to pay all applicable subscription fees and other charges on time and to provide complete and accurate payment information for a valid payment method. By providing such information, you authorize PiyushTech Enterprises and/or its authorized representatives to collect applicable subscription charges, taxes and other amounts due under your selected plan.

This authorization will remain effective for as long as you continue to use the applicable Services. You must promptly update PiyushTech Enterprises if any payment information changes.

Subscription plans may be renewed when you elect to pay the applicable renewal fees before or after the end of the current subscription period. Renewal of any subscription remains at the discretion of PiyushTech Enterprises and may be subject to the pricing and terms applicable at the time of renewal.

7. Changes to Subscription Fees and Terms

PiyushTech Enterprises reserves the right to change subscription fees, subscription terms, or both, at any time, subject to applicable law. Purchases completed before a change in pricing will not be affected by the revised charges unless otherwise expressly agreed.

Changes may be displayed on the website as new or revised charges for the relevant Services or solutions. Such display shall constitute notice to users, and no further notice shall be required unless applicable law requires otherwise.

The same principle may apply to Services or products that are initially offered without charge and subsequently made chargeable.

8. Failed or Outstanding Payments

If payment through the applicable payment gateway fails for any reason, you agree to pay the entire outstanding amount upon demand by PiyushTech Enterprises.

In the event of non-payment, PiyushTech Enterprises reserves the right, subject to applicable law and any applicable agreement, to suspend the relevant license or Services or take other appropriate action.

The subscription period may be changed by PiyushTech Enterprises where permitted under the applicable plan or agreement. Where online payment is unsuccessful, or where a license or Service has been purchased directly from a PiyushTech Enterprises representative, PiyushTech Enterprises may provide an invoice in its standard format.

Any discrepancy in an invoice should be notified to PiyushTech Enterprises within 15 days from the date of receipt. Requests raised after this period may not be entertained, subject to applicable law.

9. License or Trial Activation

Activation of a license or trial key may require an internet connection. Where an internet connection is available, the activation process may be automated to provide a seamless user experience.

Where a user does not have an internet connection for activation, the user may be required to obtain explicit approval from PiyushTech Enterprises before using the applicable Services.

10. Free Trials

PiyushTech Enterprises may, at its discretion, offer certain solutions or Services on a free-trial basis subject to additional terms and conditions specified at the time of registration.

A free trial is governed by these Terms and any additional trial-specific terms. PiyushTech Enterprises reserves the right to reduce the trial period or withdraw a free-trial offer at any time without prior notice, subject to applicable law.

Upon withdrawal or expiry of a free trial, data stored or entered by you may be lost unless you have subscribed to the applicable product or otherwise made arrangements for continued access. PiyushTech Enterprises shall not be responsible for loss of such data or information to the extent permitted by applicable law.

To the maximum extent permitted by applicable law, PiyushTech Enterprises does not accept responsibility or liability arising from use of a product or Service during a free-trial period, except to the extent such liability cannot lawfully be excluded.

11. Refunds

Unless otherwise expressly agreed in writing or required by applicable law, subscription fees paid for Services are non-refundable once the applicable Services have been initiated. Any refund request will be subject to the applicable commercial terms and applicable law.

12. Communications

In addition to these Terms, you agree that PiyushTech Enterprises may send promotional, transactional and commercial communications relating to its products and Services through calls, email, SMS, push notifications or other permitted communication channels.

Where promotional communications are sent in accordance with applicable law and your preferences, PiyushTech Enterprises shall have no further obligation in respect of such communications beyond applicable legal requirements.

13. Term and Termination

These Terms become effective on the date you accept them and/or when you access or use the PiyushTech Enterprises website, products or Services. They remain binding until the expiry of your applicable subscription plan or until you terminate or stop using the applicable PiyushTech Enterprises products or Services, whichever is later, subject to any continuing obligations under these Terms or a separate agreement.

If you wish to terminate your PiyushTech Enterprises account, if applicable, you may discontinue use of the PiyushTech Enterprises website, products and Services, subject to any outstanding payment obligations or other contractual commitments.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Subject to applicable law and unless otherwise agreed between the parties in a separate written agreement, the courts of competent jurisdiction at Pune, Maharashtra, India shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms.
